Terms of Service.

The rules for using yukata.ai: account, AI tools, courses, community, payments, and the right of withdrawal.

This English version is provided for convenience. In case of discrepancies, the Polish version shall prevail. Read in Polish (PL).

§ 1. General provisions.

  1. These Terms of Service define the rules for using the website available at yukata.ai (hereinafter: the Service or yukata), including the rules for creating an Account, using tools based on artificial intelligence, accessing courses and educational materials, and accessing the community layer.
  2. The Operator of the Service and the service provider within the meaning of the Act of 18 July 2002 on Providing Services by Electronic Means is Social Kiwi sp. z o.o. (a Polish limited liability company) with its registered office in Warsaw, ul. Bukowińska 24A lok. 146, 02-703 Warsaw, entered in the register of entrepreneurs of the National Court Register (KRS) under No. 0000355206, maintained by the District Court for the Capital City of Warsaw in Warsaw, 13th Commercial Division of the National Court Register, Tax Identification Number (NIP) 5213563801, Statistical Number (REGON) 142347430, share capital PLN 6,250 (hereinafter: the Operator).
  3. Contact with the Operator: kontakt@yukata.ai; correspondence address as per the Operator's registered office.
  4. These Terms of Service are made available free of charge in a manner enabling their acquisition, reproduction, recording, and printing.
  5. Use of the Service is conditional upon reading and accepting these Terms of Service.

§ 2. Definitions.

  1. User – a natural person using the Service, including the Account.
  2. Consumer – a User who is a natural person performing a legal act with the Operator that is not directly related to their business or professional activity.
  3. Sole trader with consumer rights (in Polish law: "przedsiębiorca na prawach konsumenta", PNPK) – a natural person entering into a contract directly related to their business activity, where it follows from the content of that contract that it is not of a professional nature for them. A PNPK is entitled to the rights concerning withdrawal from the contract, complaints, and unfair contract terms, on the terms provided for a Consumer.
  4. Account – an individual, secured set of the User's resources and settings, accessible after logging in.
  5. AI Tools – functions of the Service using artificial intelligence models, in particular Idea Validator, Decisions, and Priorities 1/5/25.
  6. Yukata One – online courses and educational materials made available by the Operator, in the form of digital content or services provided by electronic means.
  7. Community – a layer of the Service enabling contact between Users, operated using an external platform (Skool).
  8. Business Service – closed (in-house) training and educational services provided to entrepreneurs on the basis of separate offers or agreements.
  9. Digital Content – data produced and supplied in digital form (e.g. course materials, AI Tools reports).
  10. Price List – information on the prices and scope of paid Services, presented in the Service or on the purchase page at the time the order is placed.
  11. Payment Provider – the entity handling electronic payments referred to in § 10.

§ 3. Provision of services by electronic means and technical requirements.

  1. To use the Service, the following are required: a device with internet access, an up-to-date browser with JavaScript and cookies enabled, and an active email account.
  2. The Operator provides services consisting of making the Service available, maintaining the Account, providing the AI Tools, delivering Yukata One courses and materials, and providing access to the Community.
  3. The Operator makes efforts to ensure the Service operates continuously; however, it does not guarantee uninterrupted availability and reserves the right to technical breaks, in particular for maintenance, updates, or for reasons beyond its control.
  4. The User is prohibited from providing content of an unlawful nature.

§ 4. Account registration and login.

  1. An Account is created by providing an email address. Login is performed using a one-time code (OTP code) sent to the User's email address. The Service does not require setting a static password.
  2. An Account may be created by a person who is at least 18 years of age and has full legal capacity.
  3. The User provides true and current data and undertakes not to share access to the Account with third parties.
  4. The agreement for maintaining the Account is concluded for an indefinite period and may be terminated in accordance with § 18.
  5. The Operator may block or delete the Account in the event of a material breach of these Terms of Service or of the law, following a prior request, unless the breach requires an immediate response.

§ 5. Types of Services.

  1. Within the Service, the Operator makes available in particular: AI Tools (§ 6), in the basic version (Mini) free of charge and in extended versions, which may be paid in accordance with the Price List; Yukata One (§ 7), i.e. online courses and educational materials, free or paid; the Community (§ 8); Business Services (§ 9(6)).
  2. The scope and availability of the Services, including the division into free and paid functions, are determined by the Service and the Price List at the time of the order.
  3. The Operator may introduce, modify, and withdraw Services and functions. Such changes do not affect the acquired rights of Users who have paid for access to a given Service.

§ 6. AI Tools.

  1. The AI Tools (Idea Validator, Decisions, Priorities 1/5/25) allow the User to enter content on the basis of which an analysis or report is generated using artificial intelligence models.
  2. The content entered by the User is processed in order to generate a response. The rules for processing data are described in the Privacy Policy.
  3. Informational nature. The outputs of the AI Tools are of an informational and auxiliary nature. They do not constitute legal, tax, financial, investment, or medical advice, nor a recommendation within the meaning of separate regulations. The User makes decisions based on them at their own responsibility.
  4. AI models may generate incomplete or inaccurate responses. The Operator does not guarantee the correctness, completeness, or fitness of the outputs for a particular purpose.
  5. It is prohibited to use the AI Tools in a manner contrary to the law, these Terms of Service, or their intended purpose, including attempts to manipulate the AI systems (e.g. prompt injection, attempts to circumvent safeguards) and entering personal data of third parties without a legal basis.

§ 7. Yukata One (courses and digital content).

  1. The Operator makes available online courses and educational materials. The detailed scope, form, date, and price of a given course are indicated in the course description and on the purchase page.
  2. The purchase of a paid course takes place by placing an order and paying for it in accordance with § 10. Upon the payment being credited, the User obtains access to the course within the scope and for the period indicated in the description.
  3. Some courses may be conducted on a specified date or during a specified period (e.g. a course edition with live sessions). Information about the date is provided before purchase.
  4. Contracts for the supply of Digital Content and digital services are subject to § 14 (conformity with the contract) and § 12 (right of withdrawal).

§ 8. Community.

  1. Access to the Community may be free (e.g. the Friends & Family group) or paid, in accordance with the Price List. The Community is operated using the external Skool platform, whose provider processes Users' data as a separate entity. Use of the Skool platform may additionally be subject to the terms of service of its provider.
  2. A User publishing content represents that they are entitled to publish it and that it does not infringe the rights of third parties or the law.
  3. The User retains the rights to the content they publish and grants the Operator a non-exclusive, royalty-free license to display it to other Users within the Community, to the extent necessary to provide the Service.
  4. It is prohibited to publish content that is unlawful, offensive, infringing personal rights, constituting spam, or unsolicited commercial information. The Operator may remove such content and restrict the User's access to the Community.

§ 9. Prices, plans, and orders.

  1. The prices of paid Services are stated in the Price List or on the purchase page and are gross prices (they include VAT, where due).
  2. The price presented at the time of placing the order is binding on the parties.
  3. The Operator may change the prices and scope of the Services. A price change does not affect Services already paid for, until the end of the period for which access was purchased.
  4. An invoice is issued at the User's request; in the case of a purchase on behalf of an entrepreneur, the User provides the NIP (Tax Identification Number) before making the payment.
  5. If access to a Service is periodic, the rules on the term and its termination are set out in the Service description at the time of purchase.
  6. Business Services. Closed (in-house) training and educational services for entrepreneurs are provided on the basis of separate offers or agreements. To the extent not governed by such an agreement, these Terms of Service apply accordingly. The provisions concerning the Consumer and the PNPK do not apply to contracts concluded with entrepreneurs in connection with their business or professional activity.
  7. Multi-seat purchase. A business buyer may purchase from 1 to 100 seats in the Yukata One course in a single order. One seat entitles one designated person to participate in the course and to one year of access to the platform. The buyer provides the list of participants' e-mail addresses after purchase to kontakt@yukata.ai; a seat is assigned by creating an account for the indicated address. A participant may be replaced before the edition starts by contacting kontakt@yukata.ai.

§ 10. Payments.

  1. Electronic payments are handled by the Payment Provider Krajowy Integrator Płatności S.A. (Tpay), with its registered office in Poznań. The available payment methods are presented before payment is made. Invoices are issued using the Fakturownia.pl service.
  2. The data necessary to process the payment (including card details) are processed by the Payment Provider as a separate controller. The Operator does not store full payment card details.
  3. A contract for the supply of a paid Service is concluded upon confirmation of the order and the crediting of the payment.
  4. Payments are one-off: the User pays for a course or for access for a specified period in advance. The Operator does not apply automatic renewal or recurring charges.

§ 11. Access period and resignation.

  1. The period of access to a paid Service follows from its description at the time of purchase.
  2. The User may at any time cease further use of the Service and delete their Account in accordance with § 18, which does not affect the right of withdrawal from the contract (§ 12) or the complaint rights (§ 13).

§ 12. Right of withdrawal from the contract (Consumer and PNPK).

  1. A Consumer and a PNPK who has concluded a distance contract may withdraw from it within 14 days without giving a reason and without incurring costs, subject to the exceptions below.
  2. For contracts for the supply of Digital Content and services, the period is counted from the date of conclusion of the contract.
  3. To exercise the right of withdrawal, an unequivocal statement must be submitted to the Operator, e.g. by email to kontakt@yukata.ai or in writing to the registered office address. The template set out in Appendix No. 1 may be used, but this is not mandatory.
  4. In the event of withdrawal, the Operator refunds the payments received within 14 days, using the same payment method, unless the User agrees to a different method that does not entail costs for them.
  5. Loss of the right of withdrawal. In accordance with the Act of 30 May 2014 on Consumer Rights, the right of withdrawal does not apply, among others, where:
    1. the Operator has fully performed the service with the express and prior consent of the Consumer or PNPK who, before the performance began, was informed that upon completion of the performance they would lose the right of withdrawal, and acknowledged this (Article 38(1)(1));
    2. the subject of the contract is the supply of Digital Content not delivered on a tangible medium, for which the Consumer or PNPK is obliged to pay, if the Operator began performance with the prior express consent, before the expiry of the withdrawal period and after informing about the loss of the right of withdrawal, and after providing confirmation (Article 38(1)(13));
    3. the contract concerns the provision of services relating to events, if the contract specifies a day or period of performance (e.g. participation in a course session on a specified date) (Article 38(1)(12)).
  6. If the User wishes to obtain access to a paid Service immediately, before the expiry of the withdrawal period, the Operator obtains the appropriate express consent from them and informs them of the loss of the right of withdrawal to the extent resulting from paragraph 5.

§ 13. Complaints.

  1. The User may submit a complaint by email to kontakt@yukata.ai or in writing to the Operator's registered office address.
  2. The complaint should contain a description of the objections and contact details enabling a response to be provided.
  3. The Operator processes the complaint without undue delay, no later than within 14 days of its receipt, and informs the User of the manner of its handling.

§ 14. Conformity of Digital Content and digital services with the contract.

  1. The Operator supplies Digital Content and digital services in conformity with the contract, on the terms set out in Chapter 5b of the Consumer Rights Act.
  2. In the event of non-conformity, the Consumer and the PNPK are entitled to the rights provided for in that Act, including the right to demand that conformity be brought about and, in specified cases, the right to a price reduction or withdrawal from the contract.
  3. Complaints on the grounds of non-conformity are submitted in accordance with § 13.

§ 15. Rules of use.

  1. The User undertakes to use the Service in accordance with the law, these Terms of Service, and good morals.
  2. The following are prohibited in particular: providing unlawful content, infringing the rights of third parties, actions disrupting the operation of the Service or its safeguards, unauthorized data extraction (scraping), automated mass use of the Services without the Operator's consent, and manipulating the AI Tools in the manner described in § 6(5).
  3. A breach of the above rules may result in restriction of access, blocking, or deletion of the Account, with respect for the rights acquired by the User.

§ 16. Liability.

  1. The Operator is liable for the proper provision of the Services on the terms resulting from the law, in particular consumer protection legislation.
  2. To the extent permitted by law, the Operator is not liable for the consequences of decisions made by the User on the basis of the AI Tools' outputs, nor for content published by Users in the Community.
  3. The limitations of liability set out in these Terms of Service do not apply to Consumers and PNPK to the extent that mandatory provisions of law do not permit such limitation.

§ 17. Intellectual property.

  1. The Service and its elements (including the code, graphic design, trademarks, course materials, and knowledge base) are subject to legal protection and constitute the property of the Operator or of the entities from which the Operator has obtained the relevant rights.
  2. Purchasing access to a course or using the Service does not transfer intellectual property rights to the User. Materials are made available solely for personal use, without the right to further distribution, resale, or public sharing, unless otherwise stated in the Service description.
  3. The User may use, for their own purposes, the outputs generated by the AI Tools on the basis of the content entered by the User.

§ 18. Termination of the contract and deletion of the Account.

  1. The User may at any time terminate the agreement for maintaining the Account by deleting the Account in the Service settings or by contacting the Operator.
  2. Deleting the Account results in the deletion of the Account data in accordance with the Privacy Policy. Some data may be stored longer if required by law or by the Operator's legitimate interest (e.g. settlements, pursuit of claims).
  3. Termination of the agreement for maintaining the Account does not affect completed settlements or rights that arose before termination.

§ 19. Personal data.

  1. The controller of Users' personal data is the Operator.
  2. The rules for processing data, including the purposes, legal bases, data recipients, retention periods, and the rights of data subjects, are set out in the Privacy Policy.

§ 20. Final provisions.

  1. The Operator may amend these Terms of Service for important reasons (a change in legislation, a change in the scope or manner of providing the Services, security or technical considerations). The Operator informs of the amendment with appropriate advance notice and informs Users who hold an Account by electronic means. Contracts already concluded are governed by the Terms of Service in the wording accepted at the time the contract was concluded, unless mandatory provisions of law provide otherwise.
  2. Out-of-court dispute resolution. A Consumer may use out-of-court methods of handling complaints and pursuing claims, including: requesting the competent Provincial Inspector of the Trade Inspection (wojewódzki inspektor Inspekcji Handlowej) to resolve a consumer dispute out of court; applying to a permanent consumer arbitration court (stały polubowny sąd konsumencki); and using the free assistance of the county (municipal) consumer ombudsman (powiatowy/miejski rzecznik konsumentów). Information about these procedures is available on the website of the Office of Competition and Consumer Protection (UOKiK, uokik.gov.pl). The use of these methods is voluntary.
  3. In matters not regulated herein, Polish law applies. The choice of Polish law does not deprive the Consumer of the protection afforded by the mandatory provisions of the law of the country of their habitual residence.
  4. Disputes with Users who are neither Consumers nor PNPK are settled by the court having jurisdiction over the Operator's registered office.
